Terms of Service

These Terms of Service ("Terms") govern your access to and use of rzzro.com, its subdomains, and all related services, tools, data, intelligence reports, and APIs (collectively, the "Platform"), operated by Rzzro Intelligence ("Rzzro," "we," "us," or "our"), headquartered in Hermosillo, Sonora, México.

By registering an account, subscribing to any paid tier, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

These Terms include limitations on liability (Section 9), restrictions on data redistribution (Section 6), and API usage rules (Section 7). Read these sections carefully before subscribing.

01 — Definitions

• Platform: rzzro.com and all subdomains, services, tools, APIs, data feeds, intelligence reports, and content operated by Rzzro.
• User: any individual or entity that accesses or uses the Platform, whether on a free or paid basis.
• Subscriber: a User who has purchased a paid subscription tier.
• Content: all intelligence reports, articles, price data, datasets, tools, API outputs, and any other material made available through the Platform.
• API: the Rzzro programmatic data access interface available at rzzro.com/api.
• Account: the registered user account created upon signup.

02 — Eligibility and Account

You must be at least 18 years old and capable of forming a binding contract to use the Platform.

If you are using the Platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at jose.trejo@rzzro.com if you suspect unauthorised access to your account.

Each account is for a single individual. Account sharing — including sharing login credentials with colleagues or third parties — is prohibited. Enterprise multi-seat access requires a separate agreement.

You agree to provide accurate and complete information at registration and to keep it up to date.

03 — Subscription Tiers and Payment

3.1 Billing

Payments are processed by Stripe, Inc. By subscribing, you authorise Rzzro to charge your payment method on a recurring basis at the applicable rate.

Subscriptions auto-renew at the end of each billing period unless cancelled before the renewal date.

Prices are exclusive of applicable taxes. You are responsible for any taxes applicable in your jurisdiction.

We reserve the right to change subscription prices with 30 days’ notice to existing Subscribers via email. Price changes take effect at the next renewal.

3.2 Cancellation and refunds

You may cancel your subscription at any time via your account settings. Cancellation takes effect at the end of the current billing period.

No partial refunds are issued for unused time within a billing period.

Exception: if you cancel within 7 days of your first subscription payment and have not downloaded more than 3 reports or made more than 100 API calls, you are entitled to a full refund. Contact jose.trejo@rzzro.com to request it.

04 — Acceptable Use

You may use the Platform only for lawful purposes and in accordance with these Terms. The following are prohibited:

• Using the Platform for any unlawful purpose or in violation of any applicable law or regulation.
• Sharing, reselling, or sublicensing access to your account or any Content to third parties.
• Reproducing, republishing, redistributing, or transmitting any Content — in whole or in part — to any third party without prior written permission.
• Using the Platform to build or populate a competing commodity data product or service.
• Scraping, crawling, or extracting Content through automated means except through the published API.
• Circumventing access restrictions, authentication mechanisms, or usage limits.
• Uploading or transmitting any viruses, malware, or harmful code.
• Engaging in any activity that could damage, disable, or impair the Platform.

05 — Intellectual Property and Data Ownership

All Content on the Platform is the proprietary property of Rzzro Intelligence. This includes, but is not limited to, price data compilations, intelligence reports, analyses, forecasts, charts, datasets, tools, and API outputs.

Content is licensed, not sold. Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Content for your internal business purposes only.

• Public data (e.g., exchange settlement prices, published indices): you may reference and cite in internal documents and reports with attribution to Rzzro.
• Intelligence and analysis (reports, commentary, forecasts): you may share within your organisation but may not publish externally or redistribute to third parties.
• Derived data (calculations, compilations, or analyses you create using Rzzro data): you own your derived work, but your underlying use of the original data is subject to these Terms.

You retain ownership of any data you upload to the Platform (e.g., cost models, supplier lists, contract terms). You grant Rzzro a non-exclusive licence to store, process, and display this data for the purpose of providing the Platform to you.

All trademarks, service marks, and trade names on the Platform are the property of Rzzro Intelligence unless otherwise noted.

06 — Data Redistribution Restrictions

This restriction applies to all Content, including price data, reports, charts, and API outputs, regardless of whether the Content is publicly accessible on the Platform or behind a subscription.

• Internal use: Content may be used within your organisation for internal decision-making, reporting, and analysis. "Internal use" means individuals employed by your legal entity. Contractors, consultants, and third-party advisors require a separate licence.
• Attribution: when referencing Content in internal materials, you must attribute the source as "Rzzro Intelligence (rzzro.com)."
• Prohibited uses: You may not: (a) distribute Content to customers, clients, or the general public; (b) incorporate Content into a product or service you sell or provide to third parties; (c) post Content on any website, blog, or social media platform; (d) use Content to train machine learning models or for any AI training purposes.

Violation of this Section constitutes a material breach of these Terms and will result in immediate account termination without refund. Rzzro reserves the right to pursue damages for unauthorised redistribution, including lost licence revenue and legal costs.

07 — API Terms

7.1 API licence

Access to the Rzzro API is subject to your subscription tier and these Terms. You receive a limited, non-exclusive, non-transferable licence to make API calls to retrieve Content for your internal business purposes.

• You may not use the API to build or populate a competing commodity data product or service.
• You may not use the API to extract bulk historical data beyond the scope of your subscription tier.
• You may not cache or store API responses for longer than 24 hours except as expressly permitted by your subscription tier.
• You may not expose raw API responses directly to end users of a third-party application without a separate redistribution licence.

7.2 Rate limits and fair use

Each API tier is subject to rate limits as published on rzzro.com/api. Exceeding rate limits will result in temporary throttling or suspension of API access.

Deliberate circumvention of rate limits — including through multiple accounts, IP rotation, or distributed requests — constitutes a material breach of these Terms and will result in immediate account termination.

7.3 API availability

We aim to maintain API availability during trading hours but do not guarantee uptime for free or Starter API tiers. SLA commitments are available only for Enterprise API agreements. We reserve the right to modify API endpoints, data formats, or availability with reasonable notice.

08 — Platform Availability and Modifications

We provide the Platform on an "as is" and "as available" basis. We do not guarantee uninterrupted, error-free, or timely availability.

We reserve the right to modify, suspend, or discontinue any feature or part of the Platform at any time, with or without notice.

Planned maintenance will be communicated by email where reasonably practicable. Emergency maintenance may occur without prior notice.

We reserve the right to modify these Terms at any time. We will provide at least 14 days’ notice of material changes via email to registered users. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

09 — Disclaimers and Limitation of Liability

9.1 Disclaimer of warranties

To the maximum extent permitted by applicable law, Rzzro expressly disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement. We do not warrant that the Platform will be error-free, uninterrupted, or free of viruses or other harmful components.

9.2 Limitation of liability

To the maximum extent permitted by applicable law, Rzzro’s total aggregate liability to you for any claims arising out of or relating to these Terms or the Platform — regardless of the form of action — will not exceed the greater of: (a) the total fees paid by you to Rzzro in the 12 months preceding the claim, or (b) USD 100.

Rzzro is not liable for indirect, incidental, consequential, special, or punitive damages — including lost profits, lost revenue, lost data, or business interruption — even if advised of the possibility of such damages.

9.3 Indemnification

You agree to indemnify, defend, and hold harmless Rzzro Intelligence, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content you submit or transmit through the Platform.

10 — Termination

10.1 Termination by you

You may terminate your account at any time by cancelling your subscription and requesting account deletion via jose.trejo@rzzro.com. Termination does not entitle you to a refund except as provided in Section 3.2.

10.2 Termination by Rzzro

We may suspend or terminate your access to the Platform immediately and without prior notice if:

• You violate any provision of these Terms, including the acceptable use policy (Section 4) or data redistribution restrictions (Section 5).
• We determine, in our sole discretion, that your use of the Platform poses a risk to the security, integrity, or reputation of the Platform or other users.
• You fail to pay applicable fees when due.
• We are required to do so by applicable law or a competent authority.

Upon termination for breach, no refund will be issued for any unused portion of a prepaid subscription period.

10.3 Effect of termination

Upon termination: (a) your licence to use the Platform ceases immediately; (b) you must stop using all Content and delete any cached data obtained through the Platform; (c) Sections 5, 6.2, 9, 10.3, 11, 12, and 13 survive termination.

11 — Third-Party Services

The Platform integrates with third-party services including Stripe (payments), GoatCounter (analytics), and data providers. Your use of these services is subject to their own terms and privacy policies. Rzzro is not responsible for the practices, content, or availability of third-party services.

Links to third-party websites on the Platform are provided for convenience only. Rzzro does not endorse and is not responsible for the content of any linked website.

12 — Governing Law and Disputes

12.1 Governing law

These Terms are governed by the laws of the United Mexican States (México), specifically the laws of the State of Sonora, without regard to conflict of law principles. For users located in the European Economic Area, mandatory consumer protection provisions of your local law also apply.

12.2 Dispute resolution

We encourage you to contact us first at jose.trejo@rzzro.com to resolve any dispute informally. We will make reasonable efforts to resolve disputes within 30 days of receiving written notice.

If a dispute cannot be resolved informally, it shall be submitted to the competent courts of Hermosillo, Sonora, México, which shall have exclusive jurisdiction, except where mandatory local law provides otherwise.

12.3 Class action waiver

To the extent permitted by applicable law, you waive any right to participate in a class action lawsuit or class-wide arbitration against Rzzro.

13 — General Provisions

• Entire agreement: these Terms, together with the Privacy Policy (rzzro.com/privacy), constitute the entire agreement between you and Rzzro regarding the Platform and supersede all prior agreements.
• Severability: if any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
• No waiver: failure by Rzzro to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
• Assignment: you may not assign or transfer these Terms or any rights hereunder without our prior written consent. Rzzro may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.
• Language: these Terms are written in English. In the event of any conflict between an English version and a translation, the English version prevails.
• Force majeure: Rzzro is not liable for any failure or delay in performance due to causes beyond our reasonable control, including exchange outages, data provider failures, internet disruptions, or natural events.
